Trends and Issues: SEC's New Proxy Statement Rules

On January 27th, 2006 the U.S. Securities and Exchange Commission issued 370 pages of proposed rules that would make significant changes to the executive compensation disclosures required on proxy statements. The proposed rules will be open to public comment for 60 days, at which time the commission will consider any revisions and take a final vote on the rules.
